1. Acceptance of Terms

By accessing or using IABuddy ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must stop using the Service immediately.

2. Description of Service

IABuddy provides an AI-powered platform for internal audit documentation, control testing assistance, and workflow management. The Service is intended to assist professionals but does not constitute professional accounting, legal, or audit advice.

3. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you are legally capable of entering into a binding contract.

4. Accounts and Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate and complete information during registration.
  • You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

5. Subscriptions, Billing, and Tokens

  • Billing Cycle: Subscriptions are billed monthly. The billing cycle starts on the 1st of each month.
  • No Proration: The first month of service is charged in full and is not prorated, regardless of when you sign up.
  • Refunds: Payments are non-refundable. There are no refunds or credits for partially used periods.
  • Changes: Upgrades take effect immediately. Downgrades or cancellations become effective at the start of the next billing cycle.
  • Token Expiration: Monthly token allocations reset on the 1st of each month. Unused tokens do not roll over to the next month.

6. AI Usage & Limitations

Important Disclaimer: IABuddy uses artificial intelligence to generate suggestions, control descriptions, and testing results.

  • AI outputs depend entirely on User-provided inputs and context.
  • We do not guarantee the accuracy, completeness, or regulatory compliance of any AI-generated content.
  • You remain solely responsible for verifying all outputs and for the final audit conclusions and documentation.

7. User Content

You retain full ownership of any text, files, or data ("Content") you upload to the Service. By uploading Content, you grant IABuddy a non-exclusive license to use, reproduce, and process your Content solely for the purpose of providing and improving the Service (e.g., generating AI responses).

8. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, or international law.
  • Reverse engineer, decompile, or attempt to extract the source code of the software.
  • Abuse or interfere with the Service's operation, including submitting malicious code or exceeding rate limits.

9. Intellectual Property

All intellectual property rights in the Service, including the software, design, logos, and algorithms, are owned by IABuddy. Your use of the Service does not grant you any rights to our intellectual property.

10. Third-Party Services

The Service may integrate with third-party providers, including payment processors and AI model providers. We are not responsible for the availability or content of these third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

To the maximum extent permitted by law, IABuddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

13. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties, or for any other reason.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
